Acceptance of Terms
By accessing or using ProHireHQ (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. These Terms apply to all users, including employers, staffing agencies, and job candidates.
ProHireHQ is operated by BDB Coaching, LLC, a Virginia limited liability company with principal offices at 555 Belaire Ave #215, Chesapeake, VA 23320.
Description of Services
ProHireHQ provides an AI-powered recruitment platform that includes candidate sourcing, application management, AI-assisted screening, automated outreach, and analytics tools ("Services"). We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.
Accounts and Access
You must create an account to access most features of the Platform. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.
You must be at least 18 years old and legally authorized to enter into contracts to create an account. By creating an account, you represent and warrant that all information you provide is accurate and current.
Acceptable Use
You agree not to use the Platform to:
- Post fraudulent, misleading, or discriminatory job listings
- Collect or harvest user data for any purpose not related to legitimate hiring
- Violate any applicable employment laws, including the Equal Employment Opportunity Act
- Transmit spam, unsolicited messages, or communications that violate the TCPA or CAN-SPAM Act
- Attempt to reverse-engineer, scrape, or disrupt the Platform or its infrastructure
- Upload malicious code, viruses, or harmful content
AI Features
ProHireHQ uses artificial intelligence to assist with candidate sourcing, screening, and scoring. You acknowledge that:
- AI outputs are recommendations only and do not constitute final hiring decisions
- All final employment decisions must be made by qualified human reviewers
- You are responsible for ensuring your use of AI-assisted hiring complies with applicable law, including federal and state anti-discrimination statutes
- ProHireHQ does not guarantee the accuracy or completeness of AI-generated content
Data and Privacy
Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in our Privacy Policy.
Employers and agencies are responsible for ensuring they have appropriate consent and legal basis to submit candidate personal information to the Platform.
SMS and Phone Call Communications
All SMS and call communications are sent in compliance with the Telephone Consumer Protection Act (TCPA) and applicable A2P 10DLC regulations. ProHireHQ will not contact you via automated means without your prior express written consent.
Payment and Billing
Certain features of the Platform require a paid subscription or one-time payment. By purchasing a subscription, you authorize ProHireHQ to charge your payment method on a recurring basis. All fees are non-refundable unless otherwise stated. We reserve the right to change pricing with 30 days' written notice.
Intellectual Property
All content, features, and functionality of the Platform, including but not limited to software, design, text, graphics, and AI models, are the exclusive property of Build Don't Beg and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
You retain ownership of any content you submit to the Platform (job descriptions, candidate information, etc.). By submitting content, you grant ProHireHQ a limited, non-exclusive license to use that content solely to provide and improve the Services.
Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PROHIREHQ DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
ProHireHQ does not guarantee that use of the Platform will result in successful hires, placement of candidates, or any specific business outcomes.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROHIREHQ AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PROHIREHQ IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Indemnification
You agree to indemnify, defend, and hold harmless ProHireHQ and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any applicable law or third-party rights.
Termination
ProHireHQ may suspend or terminate your account and access to the Platform at any time, with or without cause, with reasonable notice where practicable. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will do so, including Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law.
Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in the Commonwealth of Virginia.
Changes to these Terms
We may update these Terms from time to time. We will notify registered users of material changes by email and update the effective date at the top of this page. Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.
